Ownership & governance guide
Ocean Capital is designed around transparent project ownership, controlled owner decisions and professional operation. This guide explains the model in plain language. The final project documents always define the binding terms.
Request a private briefing01 — The project model
Every Ocean Capital project is ring-fenced. The yacht, vessel, first hull of a newbuild or floating hospitality asset sits in a dedicated project SPV. That SPV has its own project bank account, ownership records, contracts, insurance arrangements, operating plan and reporting. Money, rights and decisions from OC01 do not flow into OC02, OC03, OC04 or OC05.
Ocean Capital is the operating company. It provides the team, brand, technical and commercial process, owner platform and ongoing asset management. It does not pool projects into one fund and it does not promise an outcome. For a newbuild series, Ocean Capital’s wider design, software and sales IP is separate from the first-hull project; any follow-on sales fee is disclosed in the relevant project documents before owner approval.

Runs the approved mandate: asset management, charter or operating activity, maintenance, reporting and controlled administration.
Uses the project DAO to approve the decisions that the project documents reserve for owners.
02 — Becoming an owner
We first establish whether the project, timing and participation route are suitable. You receive the relevant overview; detailed information follows through the controlled project data room.
Before any position is allocated, the project materials set out the asset mandate, cost boundary, fee schedule, governance scope, reserve policy, ownership route, use policy, transfer rules and the intended digital transition route.
Identity and eligibility checks, contract signing and the agreed project-bank settlement process are completed for that specific SPV. A project may have an allocation window or available capacity; no allocation is automatic.
Once all conditions are met, the SPV updates its owner register and owner access becomes available. DAO Light is available under the project rules; token activation comes only after the stated transition conditions are met.
Ocean Capital aims to make participation accessible from any suitable amount. At project-defined smaller allocation levels, a lighter onboarding route may be available where permitted. The available threshold, checks and project terms are confirmed per project, rather than advertised as an unconditional public offer.
03 — Money & open-book operations
Project money is handled at project level. The owner group sees the approved operating plan and budget alongside actual cash movements, invoices, contracts, reserve position, charter activity and material variances. Ocean Capital’s role is to operate the project against the owner-approved mandate and keep the underlying evidence organised.
Open book means owners can follow the logic from a reported number to the supporting project record. It does not mean making security-sensitive yacht data, crew information or private personal data available outside the verified project group.
04 — The digital transition
Ocean Capital’s initial project closings are conventional by design: signed project documents, participant checks, an agreed project-bank settlement route and an official SPV owner register. You do not need crypto, a wallet or a token to establish the initial recorded position.
DAO Light begins from day one in the private owner platform. It gives verified owners a controlled proposal, voting and decision-record process under the same project rules. Smart contracts and project tokens are the planned next infrastructure phase, not a promise that they already operate at the first closing.
The project documents, settlement route and SPV owner register establish the real-world position.
Verified owners receive proposal packs, defined voting rules and a recorded decision process in the private platform.
After the project’s transition checks are complete, tokens can represent recorded positions and support the approved DAO process.
05 — Future digital layer
A token belongs to one project only. It is not a generic Ocean Capital coin, it is not a public fundraising instrument and it is not a shortcut around legal ownership records. Once formally activated, it can help the approved owner platform identify a recorded position, manage controlled transfers and calculate eligible voting weight at a defined moment.
The smart contract is future infrastructure. It is configured around the project rules, independently audited before a live project relies on it, and supported by clear administration, incident and fallback procedures.

06 — DAO & operating approvals
DAO Light is a controlled owner decision process for one project, available in the private platform from the start. It is not an unbounded online vote and it does not operate the yacht day to day. Each eligible proposal has a published scope, supporting documents, voting window, quorum and result. Voting weight follows the eligible recorded project position at the defined snapshot time.
The operating mandate, budget, reserve policy and commercial direction are set out in the project terms before participation. DAO Light does not reopen that entire base plan; it considers material deviations, out-of-budget expenditure or other matters expressly reserved for owner consent. A later smart-contract layer can provide the same approved process with an auditable digital snapshot; it does not enlarge the DAO’s authority. Ocean Capital reports against the mandate. Immediate action remains possible where required for safety, law, insurance or asset protection.

07 — Owner use & controlled transfer
Ocean Capital projects are designed primarily around the project’s defined commercial mandate, not around guaranteed personal-use days. A project may include an Owner Access Factor once it is operational. That policy can take account of registered ownership, available capacity, charter opportunity cost and direct operating costs.
Any use request remains subject to the approved policy, availability, the captain’s authority and the project’s charter commitments. The project documents will state the precise method before the policy becomes active.
A token is not freely tradable by default. A proposed transfer follows the project transfer procedure: eligibility checks, required consents, owner-register update and a permitted token reassignment. The smart contract only enables the digital step after that route has been approved.
No project represents that a transfer will be possible at a particular time, price or value. A public marketplace is not part of the first release.
Frequently asked questions
Ocean Capital brings together partners around one defined yacht project. Your ownership position is established through the project documents and owner register; it does not offer a guaranteed return, value preservation, liquidity or financial outcome.
Ocean Capital intends to make participation accessible from any suitable amount. The actual allocation depends on the project’s available capacity, documentation, approval process and participant checks. It is not an unconditional public offer.
No. Initial owner positions are established through conventional project documentation, settlement and the official owner register. Any later verified account or wallet step is part of the project’s stated transition route.
No. Legal ownership is created by the signed project documents and the official owner register. Once activated, the token is the controlled digital representation of that approved recorded position.
No. Transfers are restricted and must follow the project procedure. There is no promise of a market, buyer, timing, price or liquidity.
DAO Light votes only on clearly defined, documented owner matters: candidate selection, the operating mandate, budget, reserves, material changes and other expressly reserved decisions. A later smart-contract layer does not enlarge that scope.
No. Captain authority, safety, navigation, legal compliance, class and insurance remain outside the DAO at all times.
Ocean Capital works inside the owner-approved operating mandate. DAO Light records the defined owner decision process from the start; material deviations require the defined owner approval process unless urgent safety, legal, insurance or asset-protection action is required.
Verified owners see the project plan, budget, actual cash and reserve position, supporting cost evidence, material contracts, operating reports and variance explanations, subject to sensible privacy and security controls.
Owner use is not guaranteed. If a project activates an Owner Access Factor, requests are assessed under the approved policy, project availability, charter conflict, direct costs and captain authority.
The fee schedule, operating roles and any project-specific IP or follow-on sales arrangements are disclosed in the project documentation and open-book reporting before the relevant approval.
The precise SPV, flag-state, registry and legal route are selected per project and confirmed in that project’s final documents. Ocean Capital does not assume one country’s structure for every yacht.
Ocean Capital and the captain take the necessary action to protect people, the yacht and legal compliance. The owner group receives a transparent report and any follow-up decision required by the project terms.
